The Slovak Limited Company

The slovak limited company (s.r.o.) is similar to other European limited company types. In comparison to for example the German, it has a lower basic capital - but still the same liability protection of its shareholders.

The limited company is the most often used company form and is appropriate even for larger ventures (but attention has to be paid to the maximum number of shareholders, which is 50).

Here are the most important characteristics of the Slovak Limited Company:

Formation Characteristics
Basic capital: 200.000,- SKK (about. 5.000 Euro), of which 50 percent need to be paid into the cash register immediately.
Shareholders: Natural or legal bodies
Number of shareholders: 1 - 50
Foreigners as Shareholders and Directors Shareholders and directors can have their principal address outside of Slovakia. The company itself though needs to be domicilated in Slovakia.
Liability Only the company itself is responsible for its liabilities - the shareholders are liable in the amount of their contribution to the basic capital. Taxation Company profits are subject to a corporate tax of 19 percent. Distributed profits are income tax free for in Slovakia for company shareholders.
